Wonder Girls Student Leaders Fellowship Programme (hereinafter referred to as “Programme”) is a strictly professional programme and endeavour owned and managed by Thrive and Grow Solutions Private Limited (hereinafter referred to as “the company”, “Wonder Girls”, “Wonder Girls Fellowship”, “Wonder Girls Student Leaders Fellowship”, “us”, “we” or “our”) which shall include our affiliates, sisters concerns etc. 

The website https://www.wondergirls.academy/ (“Platform”) and the information, services and other materials contained therein are provided and operated by Thrive and Grow Solutions Private Limited. These Terms & Conditions along with our Privacy Policy shall also apply to Wonder Girls operated mobile/device applications, WhatsApp groups, Zoom/Microsoft Teams/Google Meets groups, Facebook groups, Instagram pages, Facebook pages, email/SMS/phone communications and any other online pages/forums/groups operated by Wonder Girls, which shall be deemed to be part of the ‘Platform’ by reference. The terms “you”, “your”, “yours” and “you and/or your child” refer to You (as the User of the Platform).

1. Acceptance of Terms & Conditions

These Terms & Conditions (“Terms & Conditions”) constitute a legally valid and binding agreement between, the User, and Thrive and Grow Solutions Private Limited. These Terms & Conditions are an electronic contract recognised under the provisions of the Information Technology Act of 2000 read along with its Rules, and thereby governs the relationship and serve as an agreement between you and us and set forth the terms and conditions by which you may access and use our Platform and/or our Programme and/or any related service offered on or through Wonder Girls and our related websites, services, applications, products (collectively, the “Services”) and any/all information(s), content(s), video(s), data(s), graphic(s), layout(s), image(s), product(s), material(s) and service(s) (collectively, “Wonder Girls’ Content”) made available to you along with the Services or on our Platform. If you do not agree to these Terms & Conditions, promptly exit the page and stop accessing and using our Platform and/or our Services.

Please note that children i.e. persons below 18 years of age are not permitted to access and use our Platform and/or apply to our Services without the consent and authorization from their parent and/or legal guardian. As the Programme is designed for young girls, who maybe minors, the parent and/or legal guardian of the girls are considered to be the user and are required to provide consent on behalf of their child for access and use of the Platform and/or our Services as well as to these present Terms & Conditions. As a parent and/or legal guardian you further consent that access and use of the Platform and/or our Services and/or Programme by your child would only be under your guidance, control and supervision. Any action or activity undertaken by children on our Platform and/or while using our Services shall be deemed to have been taken with the consent and authorisation of their parent and/or legal guardian and the parent and/or legal guardian shall be fully responsible for the same. If you are a parent or legal guardian agreeing to the Terms & Conditions for the benefit of your child who is below 18 years of age, be advised that you are fully responsible for his/her use of our Platform and/or use of our Services, including all financial charges and legal liability that he/she may incur. By accessing and/or using the Platform and/or our Services, you represent and warrant that you have the right, authority, and capacity to enter into the Terms & Conditions and to abide by all of the Terms & Conditions set forth herein. 

Please read the Terms & Conditions contained below carefully as your access and use of our Platform and/or Services is subject to your acceptance and strict compliance of the terms contained hereinafter. 

We retain the right to amend the Terms & Conditions from time to time, for instance when we update the functionality of our Services or when there are regulatory changes. We will use commercially reasonable efforts to generally notify all users of any material changes to these Terms & Conditions, such as through a notice on our Platform, however, you should look at the Terms & Conditions regularly to check for such changes. We will also update the “Last Updated” date at the top of these Terms & Conditions, which reflect the effective date of such Terms & Conditions. Your continued access or use of the Platform and/or our Services after the date of the new Terms & Conditions constitutes your acceptance of the new Terms & Conditions. You should not access and use the Platform and/or our Services if you do not agree with any changes to these Terms & Conditions. 

2. Our Programme

Our Programme is a specially curated leadership programme designed to nurture and develop ambitious young girls into confident and courageous leaders for tomorrow. Our Programme is centred around our four cornerstone methodology: Learning through successful role models, peer networking modules, leadership project, and externship mapping. Wonder Girls reserves the right to cancel, reschedule, alter, modify or rearrange the Programme or any part thereof. We will use commercially reasonable efforts to notify you regarding any such changes. Wonder Girls will not be responsible in the event there are cancellations and/or modifications to the list of Speakers and/or Facilitators and/or Externship Partners.  

3. Application Process and Selection Criteria to our Programme 

To apply to our Programme, please fill our Application form which is available on our website https://www.wondergirls.academy/. The form requires your and/or your child’s basic information and some questions to allow us to gain an insight into your child’s vision and skills. All the Personal Information collected by us during the application process is handled with utmost care and is protected under our Privacy Policy. Please review our Privacy Policy which also governs your access and use of the Platform and/or our Services. 

Applicants are assessed and gauged on their capacity to think and reflect, their professional ambitions, passions, hobbies, current skills and/or completed projects, intellectual curiosity, desire to learn and grow, proactive & collaborative nature, social consciousness, and well-roundedness. Our selection process is fair, transparent and unbiased based on the application and interview of each applicant. The selection process takes about a total approximately 8-12 weeks.

Based on the information provided in the Application form, we shortlist the applicants, who are then invited for a 15-minute video interview. After the video interview, the decision to choose the final applicants to our Programme is taken. Applicants who are chosen for our Programme are referred to as “Fellows”. After a Fellow is selected, an email is sent to the email id through which the Application form was submitted to confirm and accept their place in the Programme and pay the requisite fees for the Programme within the deadline for acceptance and payment. 

An email is also sent to the applicants who were not successful in getting selected to our Programme. As the seats are limited, we are not able to take on each applicant. Our decision regarding selection of our Fellows is final and binding on all applicants. Applicants/Parents/legal guardians shall not dispute the selection criteria.      

We trust that all the information that was provided to us by the Applicants is true and correct. In the event of any misrepresentation, we reserve the right to take appropriate action including cancellation of the Fellow’s admission from the Programme. 

4. Fees and Refund Policy

At present, our Programme costs INR 40,000/- (Rupees forty thousand only) exclusive of taxes per Fellow. The Fee has to be paid within two weeks of being notified of the Fellow’s selection in our Programme. The Fee is subject to changes at the discretion of Wonder Girls and a prior intimation will be provided by us to all the Fellows, in the event the Fee is changed after the Fellows are selected to our Programme. In the event the Fee is changed prior to the application process, the revised Fee will be updated on our website. 

There will be no refund in the event of withdrawal of a Fellow from the Programme. The seat in our Programme is non-transferrable. We receive highly-competitive applications from all across India, and we pick the best to be a part of this Programme. Withdrawal of a Fellow takes away the slot from an otherwise eligible candidate who could have benefited immensely from the Programme. 

There shall also not be any refund in the event of cancellation of the admission of a Fellow on account any misconduct or misrepresentation made by the Fellow and/or her parents/legal guardian.

5. Externship Mapping

Externship mapping will be done by us based on Fellow skills and organizational requirements and preferences. However, please note while we will attempt that a Fellow gets placed at her preferred externship  organization, the same cannot be guaranteed as the decision is holistically made based on organizational requirements and Fellow skills. Further, our role is limited to only mapping a Fellow with the respective organization and we have no role once the Fellow accepts/rejects the externship. Any concern regarding the externship shall be taken up with the respective organization directly by the Fellow and not with us. 

6. Third Party Communication

You understand that if you and/or your child reach out directly to any Guest Role Model, Speaker, Facilitator, Externship Partner or Fellow via any platform, such contact is outside the scope of the Wonder Girls Platform and/or Services. Any such direct contacts are at your discretion and Wonder Girls will not will not be responsible in any manner for any such contact. 

7. Responsibility of the action(s) of Third Parties associated with the Programme 

Wonder Girls is not responsible for the action(s) and behaviour of the Guest Role Model, Speakers, Facilitators, Externship Partners or Fellows which is beyond our reasonable control during, before, and after the Programme. Each Guest Role Model, Speaker, Facilitator, Externship Partner or Fellow is individually liable for its own act(s) and behaviour. In the event of any inappropriate act(s) or behaviour by any of the said persons during the Programme, we request you to bring it to our notice, in writing at queries@wondergirls.co, to enable us to take action, as deemed appropriate by Wonder Girls. 

8. Code of Conduct during the Programme

During the access and use of our Platform and/or Services specially during the Programme, it is expected from the Guest Role Model, Speakers, Facilitators, Externship Partners or Fellows to:

i. Maintain a friendly but professional code of conduction and communication style with everyone including other Fellows, Guest Role Models, Speakers, Facilitators, Externship Partners etc. 

ii. Not take any pictures, selfies, capture video recordings, capture session screenshots

iii. Screen share or present your screen unless specifically asked to

iv. Not create an atmosphere of disharmony, hostility within the student groups

v. Not harass other Fellows, Guest Role Models, Speakers, Facilitators, Externship Partners etc. 

vi. Be original in the submissions shared with us and/or at the Platform and not indulge in plagiarism

We also separately send a detailed Code of Conduct which is shared with the Fellows after their acceptance in our Programme. This Code of Conduct shall form part of the present Terms and Conditions. In the event, you come across any act(s) or behaviour not in conformity with the Code of Conduct, we request you to bring it to our notice, in writing at queries@wondergirls.co to enable us to take action, as deemed appropriate by Wonder Girls.

In the event of any violation of the Code of Conduct or any inappropriate or disruptive act(s), we will immediately bring it your notice, and reserve the right to take action including cancellation of the admission of the Fellow from our Programme and/or removal of the concerned Speaker, Facilitator etc. from the Programme. 

9. License to Use

a. License: Subject to strict compliance of the Terms & Conditions stated herein, we grant you a non-exclusive, non-transferable, restricted, revocable and limited right to access and use our Platform and/or our Services and/or Wonder Girls’ Content created or uploaded by Wonder Girls on its Platform and/or shared with you through our Services or any other mode of communication. We reserve the right to suspend or deny, in our sole discretion, your access and use to all or any portion of our Platform and/or our Services and/or our Content. This license is limited to personal, private and non-commercial use by you and your child. 

b. Restrictions: Your access to and use of our Platform and/or our Services and/or Wonder Girls’ Content is subject to these Terms & Conditions and all applicable laws and regulations. You may not:

i. make unauthorised copies, reproduce, distribute, upload, exploit, communicate, translate, modify, adapt, edit or make derivative works, broadcast, disseminate Wonder Girls’ Content and/or the Services or any material uploaded on our Platform in any manner. You further agree not to make use of our Platform and/or our Services and/or Wonder Girls’ Content in a manner that would infringe the copyright therein.

ii. distribute, license or sub-license, sell or otherwise transfer in whole or in part, any of our Services and/or Wonder Girls’ Content 

iii. market, rent or lease our Services and/or Wonder Girls’ Content contained for a fee or charge or use our Services and/or Wonder Girls’ Content to advertise or perform any commercial solicitation. 

iv. interfere with or attempt to interfere with the proper working of our Platform and/or Services, disrupt the application or our Platform or any networks connected to our Services or bypass any measures we may use to prevent or restrict access to our Platform and/or our Services;

v. incorporate our Platform and/or our Services and/or Wonder Girls’ Content or any portion thereof in any other program or product and/or in any other media or format. 

vi. impersonate any person or entity, or falsely state or otherwise misrepresent yourself or your affiliation with any person or entity, including giving the impression that any content you upload, post, transmit, distribute or otherwise make available emanates from the Services or Wonder Girls. 

vii. intimidate or harass another or promote sexually explicit material, child abuse or pornography, violence or discrimination based on race, sex, religion, nationality, disability, sexual orientation or age. 

viii. commercializing or monetizing our Platform and/or our Services and/or Wonder Girls’ Content. 

ix. reverse-engineer, decompile, disassemble or otherwise access the source code for any software that may be used to operate our Platform and/or our Services and/or Wonder Girls’ Content. 

10. Intellectual Property Rights

All rights including all intellectual property rights in the Platform including the source code, software, script, layout, trademark, trade dress, user interface etc. are owned by Wonder Girls and/or its licensors and are protected by relevant provisions of laws including but not limited to copyright, trademark, design, patent, trade dress and other applicable laws, international conventions and proprietary rights and all ownership rights in them are vested with Wonder Girls and/or its licensors. 

‘Content’ means any and all information and data, including but not limited to literary works, artistic works, text, software, scripts, graphics, images, photos, audios, videos, logos, advertisements, interactive features and any other material. All Content created by Wonder Girls and made available on its Platform or through its Services including but not limited to its live sessions, video lessons, illustrations, curriculum, assignments, programme information, activity sheets etc. is owned by Wonder Girls and/or its licensors and all intellectual property rights associated with such Content is owned by Wonder Girls and/or its licensors and are protected by relevant provisions of laws including but not limited to copyright, trademark, design, patent, trade dress and other applicable laws, international conventions and proprietary rights. 

All rights in the trademark(s) including word mark(s), device mark(s) and logos in the mark ‘Wonder Girls’ and its formative marks vest in Wonder Girls and/or its licensors. All rights in the trademark(s) including word mark(s), device mark(s) and logos in the mark ‘Thrive and Grow’ and its formative marks vest in Wonder Girls and/or its licensors. 

The use of the intellectual property of Wonder Girls shall be per as the license and restrictions stated hereinabove. Wonder Girls reserves all rights not expressly granted in and to their Platform and/or Services and/or Wonder Girls’ Content. Any unauthorized use or misuse of the intellectual property of Wonder Girls and/or its licensors, as the case maybe, will amount to a violation of intellectual property rights as applicable under Indian and/or foreign law and you will be solely liable for the same. 

11. Third-Party Intellectual Property

Wonder Girls respects third-party intellectual property rights and actively supports protection of all third-party intellectual property including copyright, trademarks, designs, patent etc. All the intellectual property including but not limited to the trademarks, logos, images of our Guest Role Model, Speakers, Facilitators and Externship Partners are being used by us on our Platform and/or our Services with their consent. Any content created by the Speakers, Guest Role Models, Facilitators and Externship Partners belongs to them and/or their licensors and Wonder Girls does not have any ownership in the same. 

It is your duty to respect the intellectual property rights of such third parties and you will be solely liable in the event of any unauthorized use or misuse of such intellectual property. Wonder Girls shall not be held liable for the unauthorised use or misuse of third party intellectual property rights and the user who carries out such unauthorised use or misuse of the intellectual property shall fully indemnify and hold Wonder Girls harmless against any and all claims that may arise as a result of such use.

In the event, you notice any violation/infringement of any intellectual property rights, please notify us by sending an email to queries@wondergirls.co so that we may take appropriate action as required under law, which may include removing or disabling access to the alleged infringing content. 

12. Third Party Sites and Information 

Where our Platform and/or Services and/or Wonder Girls’ Content contain links to other sites and resources provided by third parties, these links are provided for your information only and the use of which is governed by terms and conditions of such third parties. We have no control over the contents of those sites or resources. Please read the User Agreement and Privacy Policy for these sites separately before using the said third party websites. By accessing and using the said third party websites, you agree to be bound by the respective user agreement and privacy policy of these third party websites. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them. You agree that Wonder Girls will not be responsible for such third party software, products and services nor for any error, malfunction or defected in the Services resulted therefrom. 

13. Confidentiality

During the course of your access and use of our Platform and/or Services and/or Wonder Girls’ Content, you may receive information relating to us or to our Services or Wonder Girls Content, that is not known to the general public (hereinafter referred to as “Confidential Information”). You agree that: (a) all Confidential Information will remain Wonder Girls’ exclusive property; (b) you will use Confidential Information only as is reasonably necessary for your participation in our Services; (c) you will not otherwise disclose Confidential Information to any other person or third party; and (d) you will take all reasonable measures to protect the Confidential Information against any use or disclosure that is not expressly permitted in these Terms & Conditions. 

14. Disclaimer of Warranties

The Platform and/or our Services and/or Wonder Girls’ Content may contain typographical errors or inaccuracies and may not be complete or current. Wonder Girls, therefore, reserves the right to correct any errors, inaccuracies or omissions and to change or update information at any time without prior notice.

You agree that the use of and access to the Platform and/or Services and/or Wonder Girls’ Content is provided on as “as is” and an “as available basis”.  In the event you find that any information is incorrect, you can write to us on queries@wondergirls.co. 

Wonder Girls makes no representations or warranties of any kind, whether expressed or implied or statutory, with respect to Wonder Girls Platform and/or Services and/or Wonder Girls’ Content including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Wonder Girls makes no warranty that the Platform and/or Services and/or Wonder Girls’ Content will meet the your and/or your child’s requirements or that the Platform and/or Services and/or Wonder Girls’ Content will be uninterrupted, timely, secure, or error free; nor does Wonder Girls make any warranty as to the results that may be obtained from the use of the services, or as to the accuracy or reliability of any information obtained through the services, or that any defects in the software will be corrected. 

You understand and agree that all information, data, or other material downloaded or otherwise obtained through or from the Platform and/or Services is obtained at your own discretion and risk, and that the you will be solely responsible for any damage to the that occurs to you and/or your child or your computer system, electronic device or any loss of data that results from the download of such material or data. 

15. Limitation of Liability

To the maximum extent permitted by applicable law, we, our affiliates, licensors, investors, promoters, agents, officers, or third-party service providers shall not be liable to you or any third party for any direct, indirect, incidental, special, exemplary, punitive or consequential damages, and/or for loss of profits/ revenues/ data/ business, or for any other form of damages in any manner arising out of or in connection with this agreement or for your use of our Platform and/or Services including any (i) errors, mistakes, or inaccuracies of our Content, (ii) personal injury or property damage, of any nature whatsoever, resulting from your access to and use of our Platform and/or Services, (iii) any unauthorized access to or use of our secure servers and/or any and all personal information and/or financial information stored therein, (iv) any interruption or cessation of transmission to or from our Platform and/or Services (iv) any bugs, viruses, trojan horses, or the like, which may be transmitted to or through our Platform and/or Services by any third party, and/or (v) any loss or damage of any kind incurred as a result of your use of our Platform and/or Services whether based on warranty, contract, tort, or any other legal theory, and whether or not the company is advised of the possibility of such damages, regardless of the form of action or the basis of the claim (including negligence).

You hereby disclaim, waive and forego any and all liability, both civil and criminal, whether contractual or statutory, arising in the past, existing at present or potentially arising in future, out of or in relation to, any use of our Platform and/or Services in the manner agreed hereinabove.  In no event will Wonder Girls be liable for any damages in excess of INR 1000/- (Rupees one thousand only) or, in the case of Fellows who have paid the fees, the fees paid by you to enrol in the Programme. 

16. Indemnity

You agree to indemnify and hold Wonder Girls and its Guest Role Model, Speakers, Facilitators, Externship Partners and/or Fellows harmless from any and all claims, liabilities, damages, losses and expenses, including reasonable attorneys’ fees and costs, relating to or arising out of (a) your use or attempted use of the Platform and/or Services in violation of the Terms & Conditions; (b) your violation of any law or rights of any third party; or (c) information or Content that you and/or your Child post or otherwise make available on the Platform and/or while using our Services, including without limitation any claim of infringement or misappropriation of intellectual property or other proprietary rights.

You further agree to participate in and defend us in any proceedings, actions, investigations of any kind whatsoever in relation to your access and use of our Platform and/or Services.

17. Termination

These Terms & Conditions shall remain in full force and effect during your access and use of our Platform and/or Services.

Wonder Girls may terminate, restrict or suspend your access and use to all or any part of the Platform and/or Services, with or without cause, with or without notice, effective immediately. 

If you wish to withdraw your application to our Programme or withdraw as a Fellow, you may notify us, in writing at  queries@wondergirls.co. The termination will be effective only once Wonder Girl accepts your notice of termination. As stated hereinabove, there will be no refund of fees in the event a Fellow withdraws from the Programme. 

All provisions of these Terms & Conditions which by their nature should survive termination shall survive termination, including, without limitation, confidentiality, intellectual property, warranty disclaimers, indemnity and limitation of liability.

18. Independent Parties

You and Wonder Girls are independent parties, and nothing in these Terms & Conditions will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between us. You have no authority to make or accept any offers or representations on our behalf. These Terms & Conditions will not create an exclusive relationship between you and us. Nothing expressed or mentioned in or implied from these Terms & Conditions is intended or will be construed to give to any person other than the parties to these Terms & Conditions any legal or equitable right, remedy, or claim under or in respect to these Terms & Conditions. These Terms & Conditions and all of the representations, warranties, covenants, conditions, and provisions herein are intended to be and are for the sole and exclusive benefit of Wonder Girls and the Users.  

19. Assignability 

Wonder Girls may assign at its sole discretion any of its responsibilities/obligations to any other party and we will use commercially reasonable efforts to give a notice to you. However, you shall not assign, sub-license or otherwise transfer any of your rights or obligations under these Terms & Conditions to any other party, unless written consent is taken from Wonder Girls.

20. Severability

If any of these Terms & Conditions shall be deemed invalid, void, or for any reason unenforceable, that term and/or condition shall be deemed severable and shall not affect the validity and enforceability of any remaining Terms & Conditions. 

21. Waiver 

No failure or delay in enforcing any provision, exercising any option or requiring performance, shall be construed to be a waiver of that or any other right in connection with this Agreement. 

22. Interpretation 

In these Terms & Conditions, headings are inserted for ease of reference only and are not to be used to define, interpret or limit any of the provisions of these Terms & Conditions; any reference in these Terms & Conditions to a statutory provision includes that provision and any regulation made in pursuance thereof, as from time to time modified or re-enacted, whether before or after the date of these Terms & Conditions; and any reference to a time limit in these Terms & Conditions means the time limit set out in the relevant clause or Sub-clause. 

23. Force Majeure

You agree that Wonder Girls shall be under no liability whatsoever to you in the event of non-availability of the Platform and/or Services occasioned by an act of god, war, disease, revolution, epidemic, pandemic, riot, civil commotion, strike, lockout, flood, earthquake, fire, satellite failure, failure of any public utility, man-made disaster or any other natural disaster or any other cause whatsoever beyond the control of Wonder Girls. 

24. Applicable Law and Consent to Jurisdiction 

By using any Wonder Girls Service, you agree that the laws of India, without regard to principles of conflict of laws, will govern these Terms & Conditions; and you hereby consent to the exclusive jurisdictions of courts at Mumbai with respect to all disputes arising out of or relating to our Platform and/or Services and/or Wonder Girls’ Content. 

25. Entire Agreement 

This Agreement, together with our Privacy Policy and any other agreements, rules, codes, regulations, procedures and policies which we refer to and which are hereby incorporated herein by this reference, constitutes the entire agreement between you and us with respect to our Platform and/or Services.
